Flick Gocke Schaumburg advises Celltherm shareholders on its sale to UnternehmensGut and AG Capital

Flick Gocke Schaumburg has advised the shareholders of Celltherm Isolierung GmbH on its sale to the SME investors UnternehmensGut and AG Capital.

Holger Bialdiga and Bart Verhoeven stay on as managing directors and have taken a minority stake in the buyer.

With the new shareholders now on board, Celltherm plans to expand its customer base in Germany and Europe and to implement a buy-and-build strategy.

Celltherm, along with its UK-based subsidiary and numerous other international partners, is a leading European manufacturer of chiller and freezer coldrooms. It has been manufacturing PUR-insulated building elements with foamed-in eccentric turnbuckles and PUR-insulated hinged doors at its site in Gronau, North Rhine-Westphalia, since 1982. These products are designed for demountable chiller and freezer coldrooms, and test and climate chambers.

UnternehmensGut invests equity in established SMEs in Germany from German institutional investors from the “Mittelstand Deutschland 1” evergreen fund. The fund supports companies in various situations such as succession, change of ownership and growth through minority and majority shareholdings.
